Foreign investors who plan to establish a business in the Maldives follow a structured process. It begins with a Foreign Investment Application. After the proposed business is approved, the investor files the documents for company incorporation. This guide lists the compliance requirements for incorporating a limited liability company in the Maldives.

1. Foreign Investment Application

Foreign investors submit a Foreign Investment Application to obtain approval for incorporating a company in the Maldives. This approval is a prerequisite for the incorporation process. After approval, the applicant submits the company incorporation application with the required documents.

2. Proposed company name

The company proposes a unique name for the Maldivian entity. The name ends with the suffix "Private Limited", abbreviated as "Pvt. Ltd." The proposed name must not be identical to the name of any existing company in the Maldives.

3. Share capital

The company registers a minimum share capital of MVR 2,000 at incorporation. Share capital can be denominated in Maldivian Rufiyaa (MVR) or United States Dollars (USD).

4. Shareholders

The company must have at least two shareholders. Shareholders can be individuals or corporate entities.

5. Directors

The company appoints a minimum of two directors. At least one director must be ordinarily resident in the Maldives.

The resident director can be a Maldivian citizen or, after incorporation, a foreign individual who holds a valid employment work permit visa.

6. Company secretary

Every company appoints a company secretary who is a Maldivian citizen.

7. Registered office

The company maintains a registered office in the Maldives. This address receives all official communications and notices.

8. Principal business activity

The company's intended business activity must match the approved activity in the Foreign Investment Application. This keeps the company in compliance with the terms of the initial approval.
